Introduction

These Terms of Service (the “Terms”), apply to Buzz’s (”Buzz”, ”we”, ”us”, or ”our”) provision of the Services and the Customer’s (”you”, “Customer”) use of and access to the Services. We encourage you to read them carefully and also refer to the definitions set out at the bottom of this page. The Terms and any attachments related to it, forms a legal Agreement between you and Buzz for your use of the Services.

If you sign up for a Buzz account or accept an invitation to use the Service in conjunction with an individual or team who already has a Buzz account, (i) you are agreeing to these Terms on behalf of the Organization you represent, (ii) you represent that you have authority to use that Organization’s domain to access, use or order the Service, in your capacity as a member of that Organization. The Organization, as the owner of the domain associated with your email address, may assume control over and manage your use of the Services.

These Terms define the terms and conditions under which you are allowed to use the Services. If you do not agree to these Terms, you must immediately discontinue your use of the Services.

In addition to these Terms, our Privacy Policy describes how we process the personal information we may collect when you use the Services, and how we protect your privacy. You agree that by accessing and using the Services, you have read, understood, and agree to be bound by all of these Terms of Service.

1. Right to use

  1. As between Buzz and the Customer, Buzz owns all intellectual property rights in and to the Service and all trademarks, logos, and service marks utilized by Buzz in connection with the delivery of the Service. Buzz grants Customer a non-sublicensable, non-transferable, non-exclusive, limited right to use and access the Services for internal use only. All rights not expressly granted by this license are hereby retained by Buzz and you may not copy, modify, adapt, reproduce, distribute, reverse engineer, decompile, or disassemble any aspect of the Service.
  2. If third-party license terms apply to any part of the Service or component thereof, Buzz will make these available to Customer and Customer undertakes to comply with such terms to the extent applicable.

2. Acceptable use

  1. The Customer will not, and will not encourage any third party, to: (i) market, sell, sublicense, rent, lease, or otherwise distribute the Services, in whole or in part; (ii) change, modify, upgrade, improve, enhance or create derivative works of any portion of the Services for any purpose (including without limitation error correction or any other type of maintenance); or (iii) remove, obscure, or alter any identification, proprietary, copyright or other notices in the Services.
  2. You agree to only use the Services for the purposes intended and as permitted by the Agreement and in accordance with applicable laws. If you use the Services in breach of the Agreement or applicable laws, we may terminate your account and/or suspend your use of the Services.
  3. The Customer is responsible for maintaining the confidentiality of your account and any non-public authentication credentials associated with your use of the Services. You must promptly notify us about any possible misuse of your accounts, authentication credentials, or any security incident related to the Services.
  4. The Customer represents and warrant that information you provide when registering for an account is accurate and you shall not misrepresent personal information or otherwise be untruthful about your identity in connection with your use of the Services. Buzz reserves all rights to take legal action against anyone who misrepresents personal information or is otherwise untruthful about their identity in connection with their use of the Services. Notwithstanding the foregoing, you acknowledge that Buzz cannot guarantee the accuracy of any information submitted by any user or the identity of any user who chooses to use the Services. We are not obliged to verify the identity of any user

3. The Customer’s responsibilities

  1. The Customer shall remain fully liable to Buzz for any use of the Services by Customer. The Customer is responsible for their compliance with this Terms and shall (i) take appropriate measures to prevent unauthorized access to or use of the Services and notify Buzz immediately of unauthorized access or use and (ii) cooperate with any reasonable investigation by Buzz of any outage, security problem or suspected breach of the Terms.
  2. The Customer is solely responsible and liable for the accuracy and legality of Customer Data and for obtaining all permits, rights, and consents in order for Buzz to access and use Customer Data within the Terms.
  3. The Customer may be required to register an account at Buzz’s website or other platform distributed by Buzz in order to access the Services. The Customer is solely responsible for the Customer’s account, all activities conducted in connection with the Customer’s account, and the accuracy of all information provided by or to the Customer relating thereto, including without limitation, contact, payment information, user credentials, and for protecting and safeguarding the foregoing. The Customer will promptly update any account information if it changes and notify Buzz upon becoming aware of any unauthorized use of the Customer’s account and/or credentials, and any related security breach.
  4. The Customer agrees that Buzz may monitor use of the Services to ensure quality, improve the Services and verify the Customer’s compliance with the terms.
  5. The Customer agrees to promptly comply with requests for cooperation, documentation and information Buzz makes relating to the Customer’s use of the Services in connection with internal or external audits.
